Terms and Conditions
Prime Axiss Facility Solutions Ltd. (the "Company")

These Terms and Conditions ("Terms") govern all services provided by Prime Axiss Facility Solutions Ltd. (the "Company", "we", "us", or "our") to any client ("Client", "you", or "your"). By requesting, scheduling, or accepting services from Prime Axiss Facility Solutions Ltd., you agree to be bound by these Terms.
1. Scope of Services
Prime Axiss Facility Solutions Ltd. provides facility maintenance and related services, including but not limited to mechanical repairs, electrical work, general maintenance, cleanup services, compliance-related work, and operational coverage (the "Services"). Specific details of the Services will be outlined in written estimates, work orders, service agreements, or invoices.
2. Estimates and Pricing

All estimates are based on information available at the time and are subject to change if site conditions, scope, or requirements differ.

Unless stated otherwise, estimates are valid for 30 days.

Additional work requested or required outside the original scope will be billed at agreed or standard hourly rates, plus materials.

Prices do not include applicable taxes unless explicitly stated.
3. Scheduling and Access

Client shall provide safe, timely, and unrestricted access to the worksite, utilities, and relevant equipment.

Delays caused by lack of access, unsafe conditions, or Client-related issues may result in additional charges.

Service times and completion dates are estimates and not guaranteed.

4. Client Responsibilities
The Client agrees to:

Ensure the worksite complies with all applicable health and safety requirements.

Disclose known hazards, site-specific rules, and relevant equipment history.

Obtain any required permits, approvals, or authorizations unless otherwise agreed in writing.

Protect sensitive equipment, inventory, and data not directly related to the Services.
5. Payment Terms

Invoices are due and payable within the timeframe stated on the invoice, typically Net 15 or Net 30 days unless otherwise agreed.

Late payments may be subject to interest at a rate of 2% per month (24% annually) or the maximum allowed by law, whichever is lower.

Client is responsible for all reasonable collection costs, including legal and administrative fees.

Prime Axiss Facility Solutions Ltd. reserves the right to suspend or terminate Services for non-payment.
6. Materials and Equipment

Materials supplied by Prime Axiss Facility Solutions Ltd. remain our property until paid for in full.

Prime Axiss Facility Solutions Ltd. is not responsible for defects in materials or equipment supplied directly by the Client.

Client-approved substitutions may be made if original materials are unavailable.
7. Health and Safety

Prime Axiss Facility Solutions Ltd. personnel will comply with applicable occupational health and safety regulations.

We reserve the right to stop work immediately if unsafe conditions exist, without liability.

Any resulting delays or additional costs will be the responsibility of the Client.

8. Limitation of Liability

To the fullest extent permitted by law, Prime Axiss Facility Solutions Ltd. shall not be liable for indirect, incidental, consequential, or special damages, including loss of profits or business interruption.

Prime Axiss Facility Solutions Ltd.’ total liability for any claim arising out of the Services shall not exceed the total amount paid by the Client for the specific Services giving rise to the claim.
9. Indemnification
The Client agrees to indemnify and hold harmless Prime Axiss Facility Solutions Ltd., its employees, contractors, and agents from any claims, damages, losses, or expenses arising from:

Client’s breach of these Terms;

Unsafe site conditions not caused by Prime Axiss Facility Solutions Ltd.;

Client-provided materials, equipment, or instructions.
10. Cancellation and Termination

Client may cancel scheduled Services with at least 24–48 hours’ notice (as agreed). Late cancellations may be subject to a cancellation fee.

Prime Axiss Facility Solutions Ltd. may terminate Services immediately for non-payment, unsafe conditions, or material breach of these Terms.
11. Force Majeure
Prime Axiss Facility Solutions Ltd. shall not be liable for delays or failure to perform due to events beyond our reasonable control, including but not limited to acts of God, labour disputes, supply chain disruptions, power outages, or government actions.
12. Confidentiality
Any non-public information exchanged between the parties in connection with the Services shall be kept confidential, except where disclosure is required by law.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Province of British Columbia and the applicable laws of Canada.
14. Entire Agreement
These Terms, together with any written service agreement, estimate, or invoice, constitute the entire agreement between the parties and supersede all prior discussions or agreements.
15. Amendments
Prime Axiss Facility Solutions Ltd. reserves the right to update or modify these Terms at any time. Updated Terms will apply to Services provided after the effective date.
